Terms of Service — Downline Autopilot
Effective date: 2026-08-19 · Provider: Leadspire LLC · https://app.downlineautopilot.com
Draft — to be reviewed by a lawyer before selling to third parties
This document was written from what the software actually does and aims to be complete and honest, but it is not legal advice and has not been reviewed by a lawyer. Before selling paid subscriptions to leaders other than the founder it must be reviewed by a professional — in particular the tax treatment, non-EU data transfers, the Article 28 GDPR data processing agreement and the liability limitations.
1. Who provides the service
Downline Autopilot ("the Service") is provided by Leadspire LLC ("we", "us"). You can reach us at privacy@wiseteam.app. These terms form the agreement between us and the person or business that opens an account ("you", "the Subscriber"). By creating an account you accept them.
Leadspire LLC is an independent company. The Service is not affiliated with, sponsored by or endorsed by dōTERRA, and nothing produced by the Service is an official dōTERRA communication.
2. What the Service does
The Service is a subscription CRM for direct-selling leaders. It imports the organization data you already have access to in your dōTERRA myOffice back office (through the browser extension or a file you upload), stores it in your own workspace, and lets you segment it, send email campaigns and automated flows, run reorder campaigns and, optionally, manage a cashback programme including payouts through third-party payment providers.
The Service is a tool. It does not create demand, does not guarantee results and makes no representation about income, rank advancement or sales.
3. Account and eligibility
You must be at least 18, provide accurate details, keep your password confidential and be responsible for everything done through your account. You may invite other users to your workspace; you remain responsible for what they do. New accounts start with a 14-day free trial; no payment is taken during the trial.
4. Your data, and what you promise us
The data you upload stays yours (and, where applicable, dōTERRA's). We do not sell it, do not share it between subscribers and do not use it to contact your members on our own behalf. In exchange you commit to the following, and this is the part that matters most:
- You upload only your own organization. You will not import lists that belong to another leader, purchased lists or lists obtained from any other source.
- You are responsible for complying with the dōTERRA Policy Manual and Terms of Use, including the rules on the use of member lists, cross-line contact, spam and use of the dōTERRA trademarks.
- You are the data controller towards the people in your organization: providing them with privacy information, having a valid legal basis for marketing email and honouring their requests is your obligation, not ours (see the Privacy Policy).
- You will not send content that makes health, therapeutic or income claims, and you will honour unsubscribe requests.
- You will keep your sender identity truthful and, where required (for example CAN-SPAM in the United States), include a valid postal address in your emails.
5. Cashback and money incentives
The Service can collect cashback requests from your customers and execute payments through third-party providers. Whether to offer a monetary incentive on a dōTERRA order, and whether that is compatible with the dōTERRA compensation plan, competition rules, consumer law, prize-promotion law and tax law in your country, is entirely your decision and your responsibility. We provide the mechanism; we do not advise on it and we are not a party to the payments you make. You are responsible for any tax reporting arising from them.
6. Acceptable use
You will not: use the Service to send unsolicited bulk email outside your own organization; upload malware; attempt to access another subscriber's workspace; reverse engineer or resell the Service; or use it for anything unlawful. We may suspend an account that puts our sending reputation, our infrastructure or other subscribers at risk.
7. Subscription, billing and renewal
Paid plans are billed in advance, monthly or yearly, through our payment processor. Subscriptions renew automatically for the same period unless cancelled before the renewal date. Prices may change; we will give notice before a change applies to your next renewal. Taxes, where due, are added.
8. Cancellation, withdrawal and refunds
You can cancel at any time from your account; the subscription stays active until the end of the period already paid for and is not renewed. We do not refund periods already started, except where consumer law requires it.
If you are a consumer in the European Union you have a 14-day right of withdrawal from the start of a paid subscription. Where you ask us to start the service immediately, you may be charged for what you used before withdrawing. Because the free trial requires no payment, most subscribers will have evaluated the Service before any charge occurs.
9. Suspension and termination
We may suspend or terminate an account that breaches these terms, that is the subject of a credible complaint from dōTERRA or a data protection authority, or whose payments fail. Except in urgent cases we will tell you first and give you a chance to fix the problem.
After termination you can export your data for 30 days. After that we delete the personal data in your workspace, keeping only what we must keep for accounting and legal reasons.
10. Availability and warranties
We work to keep the Service available and to protect your data, but we do not promise uninterrupted or error-free operation. The Service depends on third parties (hosting, email delivery, payment providers) and on dōTERRA myOffice, which can change at any time and can break the data import without notice. The Service is provided "as is", without warranties beyond those that cannot be excluded by law.
11. Liability
To the extent permitted by law, our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the event. We are not liable for lost profits, lost commissions, loss of a dōTERRA account or position, or for damages arising from your use of the Service in breach of the dōTERRA Policy Manual or of data protection law. Nothing here excludes liability for fraud, wilful misconduct, gross negligence or death or personal injury.
12. Changes to these terms
We may update these terms. Material changes will be announced by email or in the app at least 30 days before they take effect; continuing to use the Service after that means you accept them.
13. Governing law
These terms are governed by the law of the place where Leadspire LLC is established, without prejudice to the mandatory consumer-protection rules of your country of residence.
